Welcome to AdverAT, a service provided by Andreas Giannoutsos of Antonios a sole proprietorship, registered with the Greek General Commercial Registry (GEMI) under Number 180460303000. These Terms of Service ("Terms") govern your access to and use of AdverAI Employee, our Voice AI Agent solution, offered through https://adverat.com/ ("Website").

By using our services, you agree to these Terms. If you do not accept them, please discontinue using our Website and Services immediately.

1. Overview of Services

AdverAT provides AdverAI Employee, a Voice AI Agent solution designed to:

i) Automate customer communications.

ii) Qualify leads for businesses.

iii) Enhance operational efficiency through AI-driven interactions.

The specifics of your use, including features and pricing, are defined in your service agreement or subscription plan.

2. Eligibility

To use AdverAT’s services, you must:

i) Be at least 18 years old.

ii) Have the authority to enter into legally binding agreements.

iii) Comply with applicable laws, including U.S. regulations such as the Telephone Consumer Protection Act (TCPA) and other telecommunication rules.

3. Account Registration

i) You must provide accurate and current information when creating an account.

ii) You are responsible for safeguarding your account credentials and any activities under your account.

iii) Notify us immediately of any unauthorized access to your account.

4. Acceptable Use

By using AdverAI Employee, you agree to:

i) Use the services in compliance with all applicable laws and regulations.

ii) Avoid using the service for unlawful purposes, including spamming, harassment, or fraud.

iii) Not attempt to reverse-engineer, tamper with, or exploit AdverAI’s systems or services.

iv) Use the service only for your internal business purposes unless expressly authorized to resell or sublicense it.

5. Service Fees and Payment

i) Fees: Fees for AdverAI Employee are outlined in your subscription plan or agreement.

ii) Billing: Payments are due as specified. Late payments may result in service suspension or additional charges.

iii) Refunds: Fees are non-refundable unless specified otherwise in writing.

iv) Taxes: You are responsible for all applicable taxes unless exempt by law.

6. Privacy and Data Usage

i) Data Collection: Your data will be handled per our [Privacy Policy].

ii) Call Recordings: AdverAI Employee may record calls for quality assurance, compliance, and service delivery. By using our service, you consent to such recordings.

i) All intellectual property rights, including software, designs, trademarks, and algorithms, remain the exclusive property of AdverAT.

ii) You are granted a limited, non-transferable license to use the service as outlined in these Terms and your agreement.

9. Disclaimers and Limitations of Liability

i) As-Is Basis: AdverAI Employee is provided "as is" without warranties of any kind, express or implied.

ii) Limitation of Liability: AdverAT is not liable for indirect, incidental, or consequential damages. Total liability is limited to the fees paid by you in the preceding 12 months.

10. Compliance with U.S. Telecommunication Laws

If you use AdverAI Employee for SMS, voice calls, or telecommunication:

i) You must ensure compliance with U.S. laws such as the TCPA, CAN-SPAM Act, and any state-specific regulations.

ii) It is your responsibility to obtain proper consents from recipients.

iii) AdverAT disclaims liability for any legal issues arising from your misuse or non-compliance.

11. Service Modifications

AdverAT may update or modify the service, including discontinuing certain features, with reasonable notice where practical.

12. Termination

i) By AdverAT: We may terminate your access for non-payment, breach of these Terms, or illegal activities.

ii) By You: You may terminate your subscription with prior written notice, subject to the terms of your service agreement.

iii) Upon termination, you are responsible for all outstanding fees.

13. Governing Law

These Terms are governed by and construed under the laws of Greece. Any disputes will be resolved in the courts of Greece.

14. Indemnification

You agree to indemnify and hold AdverAT harmless from any claims, damages, or legal fees arising from:

i) Your misuse of AdverAI Employee.

ii) Non-compliance with U.S. telecommunication laws.

iii)Third-party claims resulting from your business operations.

15. Force Majeure

AdverAT is not responsible for delays or failures due to circumstances beyond our control, including natural disasters, labor strikes, or governmental actions.

16. Changes to the Terms

We reserve the right to update these Terms periodically. Changes will be effective upon posting, and your continued use of the service constitutes acceptance.

17. Free Trial Terms

AdverAT may offer a free trial for AdverAI Employee, subject to the following conditions:

i) Usage Limit: During the free trial, you are allocated up to 150 minutes of usage for AdverAI Employee. Once the 150-minute limit is reached, the AI functionality will automatically be disabled, and you will be informed via email or other contact methods provided during sign-up.

ii) No Charges: Exceeding the usage limit during the trial will not result in charges; however, continued access will require upgrading to a paid plan.

iii) Evaluation Purpose: The free trial is provided solely for evaluation purposes, and you agree to use it in compliance with these Terms.

iv) Testimonial Requirement: By accepting the free trial, you agree to provide a testimonial on the last day of the trial period. The testimonial must reflect your honest feedback, and AdverAT reserves the right to use it for promotional purposes.

v) Termination: AdverAT reserves the right to terminate the free trial at any time without prior notice if there is a breach of these Terms or misuse of the service.
